3. AUTHORISED RESELLER RELATIONSHIP
BarronClothing.com is operated by Soapbox Promo & Gifts (Pty) Ltd as an authorised independent reseller of genuine Barron products.
This Website has been established as a dedicated online platform for the marketing and sale of genuine Barron products, including corporate apparel, workwear, promotional products, corporate gifts and related merchandise supplied through authorised distribution channels.
BarronClothing.com is not the official corporate website of Barron.
All Barron trademarks, logos, product names, product imagery and brand names remain the property of their respective owners.
References to Barron trademarks, logos and products are used solely for the purpose of marketing and selling genuine Barron products through an authorised reseller relationship.

4. DEFINITIONS
For purposes of these Terms and Conditions:
Buyer means any person or organisation purchasing products through the Website.
Customer means any user, visitor or purchaser using the Website.
Order means an electronic order submitted through the Website.
Products means goods offered for sale through the Website.

Business Day means any day other than a Saturday, Sunday or South African public holiday.
5. LEGALLY BINDING AGREEMENT
These Terms and Conditions constitute a legally binding agreement between you and Soapbox Promo & Gifts (Pty) Ltd.
When you place an order through this Website and payment is successfully authorised or received, a binding agreement of sale is created between you and Soapbox Promo & Gifts (Pty) Ltd, subject to product availability and these Terms and Conditions.
All purchases made through this Website are concluded with Soapbox Promo & Gifts (Pty) Ltd and not with Barron.
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
6. PRODUCTS AND AVAILABILITY
All products displayed on this Website are subject to availability.
While every reasonable effort is made to maintain accurate stock levels and availability information, products may occasionally become unavailable due to supplier stock shortages, system delays, inventory discrepancies or circumstances beyond our control.
We reserve the right to discontinue products, modify product specifications, replace products with suitable alternatives or limit quantities available for sale.
Should a product become unavailable after an order has been placed and paid for, we will notify you and offer either:
• A suitable alternative product;
• A credit note; or
• A full refund for the unavailable item.
7. ORDERS AND PURCHASES

An order does not constitute acceptance by Soapbox until:

Products placed in a shopping cart are not reserved and may become unavailable before checkout is completed.

All prices displayed on the Website are quoted in South African Rand (ZAR).

Every reasonable effort is made to ensure pricing accuracy. However, errors may occasionally occur.
Where a product has been listed at an incorrect price due to a system, supplier or administrative error, Soapbox reserves the right to cancel the affected order and provide a full refund.
The displayed product price excludes delivery charges unless expressly stated otherwise.
Additional branding, embroidery, printing, setup fees, artwork charges and delivery costs may apply where relevant.
9. PAYMENT METHODS
Payment may be made using one or more of the following methods available at checkout:

• Electronic Funds Transfer (EFT)
• SnapScan
• PayFast
• Stitch Express
Additional payment methods may be added or removed at any time without prior notice.
All electronic payment transactions are processed through secure third-party payment service providers.
Soapbox does not store customer credit card information.
Orders paid via EFT will only be processed once cleared funds have reflected in our bank account.
Customers are responsible for ensuring that correct payment references are used when making EFT payments.
10. GIFT VOUCHERS
Soapbox may issue electronic gift vouchers from time to time.
Gift vouchers:
• May only be redeemed on BarronClothing.com;
• May not be exchanged for cash;
• May not be used to purchase additional gift vouchers;
• May only be used while valid;
• Are non-refundable once issued.
If the value of a gift voucher exceeds the value of a purchase, the remaining balance will remain available for future purchases until expiry.
If the value of a gift voucher is insufficient to cover a purchase, the balance must be paid using an approved payment method.
Soapbox reserves the right to cancel, refuse or invalidate gift vouchers obtained through fraud, abuse or technical error.
11. PROMOTIONS AND COUPON CODES
From time to time, Soapbox may offer promotional campaigns, discount vouchers, coupon codes, special pricing or limited-time offers.
Promotions may be subject to additional terms and conditions, including:
• Expiry dates;
• Product restrictions;
• Minimum order values;
• Maximum redemption limits; and
• Availability limitations.
Promotional offers may not be combined unless expressly stated.
Coupon codes have no cash value and may not be exchanged for cash, credit or refunds.

Any attempt to abuse, manipulate or fraudulently redeem promotions may result in cancellation of the promotion, cancellation of the order and suspension of the customer account.
12. DELIVERY AND COLLECTION
Soapbox delivers products throughout South Africa using approved courier and logistics partners.
Delivery times are estimates only and are not guaranteed.
Estimated delivery dates are provided in good faith and shall not constitute a guarantee of delivery by a specific date unless expressly agreed to in writing.
Delivery periods may vary depending on:
• Product availability;
• Supplier lead times;
• Branding requirements;
• Customer approval delays;
• Courier performance; and
• Circumstances beyond our reasonable control.
Risk in the products shall pass to the customer upon delivery.
Ownership of products shall remain with Soapbox until payment has been received in full.
Customers are responsible for ensuring that delivery information supplied is accurate and complete.
Additional delivery charges may apply to remote, outlying or high-risk areas.
13. PICK-UP POINTS
Where available, customers may elect to collect orders from designated collection points or Soapbox facilities.
Collection notifications will be sent once orders are ready for collection.
Customers may be required to provide:
• Proof of identity;
• Order confirmation; and
• Proof of payment.
Orders not collected within a reasonable period may be cancelled, restocked or subject to storage charges.
Soapbox reserves the right to modify or discontinue collection services at any time.
14. CUSTOMISED, BRANDED AND MADE-TO-ORDER PRODUCTS
Many products offered through the Website may be customised, branded or manufactured to customer specifications.
Branding services may include, but are not limited to:
• Embroidery;
• Screen Printing;
• Direct-to-Film (DTF) Printing;
• Heat Transfer Applications;
• Digital Printing;
• Laser Engraving;
• Pad Printing;
• Sublimation Printing; and
• Other branding and personalisation methods.
Customised products may require:
• Artwork approval;
• Colour approval;
• Layout approval;
• Branding approval; and
• Deposit payments before production commences.
Customers are responsible for carefully reviewing all artwork proofs and approvals before authorising production.
Once artwork approval has been provided, the customer accepts responsibility for spelling, design, positioning, colour selection and content accuracy.
Soapbox shall not be responsible for errors that were present on approved artwork.
Where artwork approval has been provided by the customer, any subsequent corrections, reprints or amendments requested by the customer may be subject to additional charges.
Production will only commence after all required approvals and deposits have been received.
Lead times for customised products may vary depending on product availability, production capacity and branding requirements.
15. DEPOSITS FOR CUSTOMISED ORDERS
Soapbox may require a deposit before processing customised, branded or special-order products.
Deposit requirements will be communicated during the quotation or ordering process.
Failure to pay required deposits may result in:
• Production delays;
• Order suspension; or
• Order cancellation.
Deposits paid towards customised products may be non-refundable where costs have already been incurred, materials ordered or production commenced.
16. RETURNS, REFUNDS AND DEFECTIVE PRODUCTS
Returns and refunds shall be governed by applicable South African consumer protection legislation, including the Consumer Protection Act, where applicable.
Customers must inspect products upon receipt and notify Soapbox of any defects, shortages or incorrect deliveries as soon as reasonably possible.
Subject to applicable law:
• Defective products may be repaired, replaced or refunded;
• Incorrectly supplied products may be exchanged or refunded;
• Products returned in an unused and resaleable condition may qualify for return approval.
The following products may not be eligible for return unless defective:

• Products altered after delivery.
Return requests must be accompanied by:
